1. Eligibility. The Onchain Idol Contest is open only to individuals who are eighteen (18) or older at the time of entry and have reached the age of majority in the jurisdiction in which they reside. Individuals who are on, or who reside in a country that is on, any sanctions list maintained by the U.S. Office of Foreign Assets Control (OFAC) are not eligible to enter. Employees of Sponsor, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee are not eligible. The Contest is subject to all applicable laws and regulations and is void where prohibited by law.

2. Sponsor. Treehouse Technologies, Inc., 780 Haight St., San Francisco, CA 94117.

3. Agreement to Official Rules. Participation in the Contest constitutes your full and unconditional agreement to these Official Rules and the decisions of Sponsor, which are final and binding.

4. Entry & Selection of Potential Winners. There are two (2) ways to enter: (i) by submitting a link to an original NFT collection on Base that is open for minting from August 30, 2023, at 9:00 a.m. Eastern Time (“ET”), to 9:00 a.m. ET on September 2, 2023 (submissions will be open from August 9, 2023 at 9:00 a.m. ET until August 21, 2023 at 9:00 a.m. ET); or (ii) by submitting a proposal for an original NFT drop on Base by 9:00 a.m. ET on August 21, 2023. For each method of entry, you must submit an image NFT, audio NFT (audio file plus thumbnail image), or video NFT (link to video file that is publicly viewable plus thumbnail image). Limit one (1) entry per person, regardless of method of entry used. All entries will be subject to public judging to determine potential winners. Potential winners from among all eligible entries received will be publicly judged based on creativity and originality, which will be equally weighted. Potential winners will be determined on or about August 25, 2023, at 9:00 a.m. ET, based on the highest number of votes received. In the event of a tie, Sponsor or Sponsor’s designee will select as the potential winner the entry with Sponsor’s higher rank for creativity. The odds of winning depend on how an entry is judged as compared to other eligible entries based on the above judging criteria. Any entrant suspected or found by Sponsor in its reasonable judgment to be voting in violation of the terms applicable to such voting, or encouraging the same, will be disqualified.

5. Entry Requirements. Your entry must be your own original work and must not: (a) impersonate any person or entity (including by using any celebrity look-a-likes or sound-a-likes), or falsely state or misrepresent any affiliation with any person or entity; (b) contain any content that could be considered deceptive, misleading, false, fraudulent, scandalous, indecent, obscene, sexually explicit, defamatory, libelous, threatening, harassing, hateful, degrading, intimidating, graphically violent or otherwise unlawful, tortious or objectionable; (c) depict, encourage, promote or induce conduct that could violate any law or give rise to criminal or civil liability, or that could be considered risky, violent, discriminatory or otherwise inappropriate; (d) advertise or promote alcohol, tobacco, firearms, or gambling; (e) contain any content that is protected by copyright, trademark (including, without limitation, any logo that appears on an article of clothing or elsewhere), trade secret, right of publicity or other proprietary right, without the express prior written consent of the owner of such right; (f) endorse any religious or political cause or candidate; (g) contain any personal information about you or any other person; (h) depict any minor; or (i) contain any confidential information, or any material, non-public information about any company. The Sponsor reserves the right, in its sole and absolute discretion, to refuse to accept any entry for any reason.

6. Requirements of Potential Winners. Sponsor will contact potential winners by email. Except where prohibited, each potential winner must complete and sign an Affidavit of Eligibility and Liability/Publicity Release (or equivalent) (“Affidavit and Release”). If a potential winner fails to sign the Affidavit and Release within ten (10) days of being notified or if Sponsor determines in its sole discretion that the potential winner is ineligible, an alternate entrant will be selected in their place based on the next highest voting score. In addition, a potential winner who is a resident of Canada will be required to correctly answer a timed mathematical question, without a calculator or other assistance, in order to be eligible to receive a prize. Unless prohibited by law, acceptance of a prize constitutes permission for Sponsor to use winner’s name, picture, likeness, address (city and state/province) and biographical information for advertising and publicity purposes, worldwide, without further compensation. A U.S. winner may be required to submit Social Security number for tax reporting purposes.

7. Prizes. Ten (10) winners will each receive a percentage of a portion of the proceeds from the transaction fees received in connection with FWB’s launch of a Day 1 NFT on Base (an open edition free mint with a $1.00 transaction fee) (the “prize pool”). The first place winner will receive 25% of the prize pool; the second place winner will receive 20% of the prize pool; the third place winner will receive 15% of the prize pool; the fourth and fifth place winners will each receive 7.5% of the prize pool; and the sixth, seventh, eighth, ninth, and tenth place winners will each receive 5% of the prize pool. Each winner will also receive six (6) months free of Bonfire Pro (approximate retail value: US$72 each) and exclusive Bonfire merchandise (approximate retail value: US$82). The first, second, and third place winners will also be included as featured mints in Bonfire’s Onchain Summer mint day. All taxes associated with prize receipt are the responsibility solely of each winner. Prizes are non-transferable and non-assignable. No prize substitution permitted, except that Sponsor reserves the right to substitute a prize of comparable or greater value at Sponsor’s sole discretion.

8. Privacy. Information submitted in connection with an entry is subject to Sponsor’s privacy policy, available at https://legal.bonfire.xyz/privacy-policy.

9. General Conditions. In the event that the operation, security or administration of the Contest is impaired in any way for any reason, Sponsor may, in its sole discretion, suspend, modify and/or cancel the Contest. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the operation of the Contest or to be acting in violation of these Official Rules or in a disruptive manner. Any attempt by any person to undermine the operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

10. Release and Limitation of Liability. By participating in the Contest, you agree to release and hold harmless Sponsor, Coinbase, Friends With Benefits, Twitter and other social media platforms on which the Contest is promoted, and each of their respective parent and related companies, and each such company’s respective officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical or printing errors; (c) lost, late, postage-due, misdirected or undeliverable mail or email; (d) errors in the administration of the Contest; or (e) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from your participation in the Contest or receipt or use of any prize. You further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest, and in no event shall the Released Parties be liable for attorneys’ fees.

IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE ANY AND ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF THE STATE OF CALIFORNIA, WHICH PROVIDES AS FOLLOWS: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

11. Disputes. Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the County of San Francisco, California. Except where prohibited, all issues and questions concerning these Official Rules, your rights and obligations, or Sponsor’s rights and obligations shall be governed by the laws of the State of California, without giving effect to any choice of law or conflict of law rules.
